Terms of Service

1. Eligibility

You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that you are at least 13 years old. If you are under 18 years of age, you must have your parent or legal guardian's permission to use the Service.

2. User Accounts

To use certain features of the Service, you must register for an account. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Username & Handle Reclamation: We reserve the right to reclaim, reassign, or revoke usernames and handles at our sole discretion, particularly in cases involving trademark infringement, impersonation, or prolonged inactivity.

3. User-Generated Content

FlixNChill allows users to upload, post, and share content, including videos, comments, and other materials ("User Content").

• Ownership: You retain all ownership rights to your User Content.
• License to FlixNChill: By uploading User Content, you grant FlixNChill a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service.
• Public Spotlighting: By setting a Collection, Profile, or Post to "Public", you grant FlixNChill the right to feature, spotlight, and promote that content across the platform (such as on our Discovery page) without prior notice or compensation.
• Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You agree not to upload content that violates our Community Guidelines, infringes on third-party intellectual property rights, or is illegal.

4. Prohibited Conduct

To maintain a safe and fair environment, you agree not to engage in any of the following prohibited activities:

• Vote & Stat Manipulation: Artificially inflating popularity, streaks, or consensus through excessive automated interactions, fake accounts, or utilizing bots.
• Review Bombing: Orchestrating or participating in targeted, bad-faith campaigns to artificially lower or manipulate the ratings of specific films, shows, or creators.
• Data Scraping: Employing any robot, spider, scraper, or other automated means to extract data, monitor, or copy any portion of the Service without our express written authorization.
• Feature Cloning: Attempting to reverse engineer, recreate, or distribute features that are exclusively included within our Premium accounts.
• Malicious Behavior: Harassing users, distributing malware, circumventing security measures, or attempting to compromise the integrity of the platform.

5. DMCA & Copyright Policy

FlixNChill respects the intellectual property rights of others. In accordance with the Digital Millennium Copyright Act (DMCA) and international copyright laws, we will respond expeditiously to valid notices of alleged copyright infringement.

• Reporting Infringement: If you believe your copyrighted work has been uploaded without authorization, you may submit a takedown request to our designated Copyright Agent.
• Repeat Infringers: FlixNChill maintains a strict repeat infringer policy. We will terminate the accounts of users who repeatedly upload copyrighted material without permission.

6. Community Spaces & Moderation

• Town Square Links: To protect our community from spam, only verified accounts and brands are permitted to share external links in the public Town Square.
• Club & Tribe Autonomy: Private CineClubs and Tribes are managed by their respective Creators and Admins, who reserve the right to approve posts, manage membership, and remove members at their sole discretion. FlixNChill is not liable for interactions within these spaces, though we retain ultimate authority to enforce safety guidelines.
• Creator Inactivity & Ownership Transfer: Community spaces (Tribes and Clubs) are vital to our platform. If a Creator is proven to be missing in action (MIA) or highly inactive for an extended period, FlixNChill reserves the right, at our sole discretion, to seize the entity and transfer ownership and administrative rights to active moderators or members to ensure the community's survival.

7. Payments, Subscriptions & Donations

Certain features or content on FlixNChill may require payment.

• Merchant of Record: All financial transactions are securely processed through our third-party payment provider, Lemon Squeezy, which acts as the Merchant of Record. By making a purchase, you agree to Lemon Squeezy's terms and conditions.
• Auto-Renewal: Premium subscriptions will automatically renew at the end of each billing cycle unless you cancel via the Customer Portal prior to the renewal date.
• Price Changes: We reserve the right to adjust subscription pricing. If your subscription price changes, we will communicate the changes to you in advance. Continuing to use the Service after the change takes effect constitutes your acceptance of the new price.
• Tip Jar & Donations: Contributions made via the Tip Jar are purely voluntary donations to support the platform. They do not unlock any premium features, AI tokens, or confer any special rights. All donations are strictly non-refundable.
• Virtual Items & AI Tokens: Any AI tokens, "Streak Fixes," or other virtual items purchased or acquired on the platform have no real-world cash value, cannot be exchanged for fiat currency, and are strictly non-refundable.
• Refunds: Refund policies for subscriptions and top-ups are governed by Lemon Squeezy's policies and any specific terms presented to you at the time of purchase.

8. AI Output & Entertainment Use

• Entertainment Only: AI-powered features (such as Flix Buddy, the Trivia Engine, and the What If Nexus) are provided strictly for entertainment purposes. FlixNChill does not guarantee the accuracy, factual correctness, or reliability of any AI-generated outputs.
• Ownership & Copyright: Texts, scripts, and treatments generated by the AI Studio are created by third-party artificial intelligence. FlixNChill claims no ownership over these outputs; however, we make no guarantees that users can legally claim copyright or exclusive ownership over such AI-generated content. You use and share these outputs entirely at your own risk.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

• Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration, rather than in court. The arbitration shall be administered in accordance with internationally recognized arbitration rules.
• Class Action Waiver: YOU AND FLIXNCHILL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and FlixNChill agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.
